Inversiones Breca acquires Lafarge Chile

Inversiones Breca SA of Peru (Breca), a unit of Brescia Group, agreed to acquire an 84.22% interest, or 3.851 bil ordinary shares, in Lafarge Chile SA (Lafarge Chile), a Santiago-based manufacturer of cement, from Blue Circle Chilean Holdings Ltda (Blue - 82.74%), a unit of Lafarge SA (Lafarge) and Cementos Overseas Holdings Ltda (1.48%), for CLP 55.827 (USD 0.103) per share, or a total value of CLP 218.817 bil (USD 403.717 mil). Concurrently, Breca agreed to acquire a 98.27% interest in Inmobiliaria San Patricio SA and planned to launch a tender offer to acquire the remaining 15.78% stake, which it did not already own, in Lafarge Chile. Originally, in July 2009 Blue announced that it was seeking a buyer for its 82.74% interest in Lafarge Chile.
